There is no universally lawful formula that converts 49% shareholding into 100% absolute control. Shareholder agreements, articles, director authority, reserved matters and voting mechanisms may clarify governance and protect an investment, but they must reflect genuine funding and commercial arrangements and comply with Thailand’s Foreign Business Act and other mandatory laws. They must not conceal nominee shareholding or circumvent foreign-ownership restrictions. Each structure requires a business- and licence-specific review.
